1. General, Jurisdiction and Precedence

1.1 These Terms and Conditions apply to all courses, assessments, events, workplace assessments and related services provided by Tec Training (GB) Ltd (the "Company").

1.2 These Terms and Conditions shall prevail over any terms proposed by the client, delegate, sponsor or third party, unless expressly agreed otherwise in writing by a Director of the Company.

1.3 No variation to these Terms and Conditions shall be binding unless agreed in writing by the Company.

1.4 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, save that the Company may, at its discretion, bring proceedings in the jurisdiction where the services are delivered.

2. Acceptance of Bookings

2.1 By placing a booking by email, online or telephone, the client and/or delegate confirms acceptance of these Terms and Conditions, which shall form a binding contract.

2.2 Any booking form or purchase order is deemed to authorise the booking only and does not supersede these Terms and Conditions.

3. Bookings, Authorisation and Eligibility

3.1 All bookings must be supported by a valid purchase order number or completed booking form where applicable.

3.2 For railway safety critical and track safety training, a fully completed and authorised training authorisation booking form must be received prior to course commencement. Failure to do so will result in refusal of entry and full fees remaining payable.

3.3 The Company reserves the right to refuse entry where course-specific standards, rules or requirements are not met, including but not limited to mandatory pre-requisites applicable to the specific course or assessment.

3.4 It is the sole responsibility of the Sponsor and/or client to ensure that all delegates meet all applicable pre-requisites in accordance with the standards, scheme rules and requirements relevant to the specific course or assessment, including those imposed by Network Rail, London Underground, Sentinel, NSAR and any other relevant authority.

3.5 Mandatory pre-requisites may include, without limitation, valid sponsorship, medical fitness, drugs and alcohol compliance, competence validity, right-to-work documentation, identity verification and completion of required eLearning modules.

3.6 Failure to meet any applicable pre-requisite, including completion of mandatory eLearning where required, shall result in refusal of entry. In such circumstances, no refund shall be due, and full fees shall remain payable.

3.7 Where a course or assessment requires work experience evidence or electronic records, the client and/or delegate must present the required evidence in the prescribed format in accordance with the relevant standards and joining instructions. Failure to do so will result in refusal of entry and full fees remaining payable.

3.8 The Company shall not be liable for insufficient, incomplete or non-compliant work experience entries, which remain the sole responsibility of the client and/or delegate in accordance with the applicable Network Rail standards. Failure to meet these requirements will result in refusal of entry and full fees remaining payable.

4. Cancellation, Transfers and Substitutions

4.1 Cancellations made within fourteen (14) calendar days of the course or assessment start date are non-refundable, irrespective of weekends, public holidays or non-working days.

4.2 Bookings made within fourteen (14) calendar days of the start date are non-refundable and non-transferable, irrespective of weekends, public holidays or non-working days.

4.3 Delegate substitutions may be made once only, free of charge, up to forty-eight (48) hours prior to commencement of the event (excluding LU-WSSI assessments and workplace assessments). Further substitutions will be chargeable.

4.4 The Company may reschedule or cancel events due to operational, safety, regulatory or force majeure reasons. In such cases, liability shall be limited to refunding fees paid for the affected event only.

5. Fees, Packages and Payment

5.1 All fees are stated exclusive of VAT unless expressly stated otherwise.

5.2 Account clients must pay in accordance with agreed credit terms. Where credit approval is not granted, full payment is required in advance.

5.3 Individuals self-funding training must pay in full at the time of booking.

5.4 Where a booking forms part of a package of services (including, without limitation, eLearning uploads, registrations, licensing, scheme administration, assessments or third-party charges), any elements of the package already delivered, activated, uploaded or incurred by the Company shall be non-refundable.

5.5 In the event of cancellation by the client or delegate, the Company shall be entitled to retain or invoice for the full cost of any services performed, costs incurred or third-party charges committed prior to cancellation, notwithstanding any other refund provisions.

5.6 Where payment is not received within the stipulated payment timeframe, the Company shall be under no obligation to upload, register, activate or progress the course, assessment or event.

5.7 Where payment remains outstanding for a period exceeding twenty-one (21) calendar days from the due date, any associated course, assessment or event shall be deemed lapsed. In such circumstances, the delegate may be required to repeat the course or assessment in full, and additional charges shall apply.

5.8 All requested refunds shall be subject to a 5% administration and transaction charge.

6. Attendance, Punctuality and Conduct

6.1 Delegates arriving late, missing sessions, or failing to comply with course rules will be refused entry or removed from training. Full fees shall remain payable.

6.2 The Company operates a zero-tolerance policy in respect of abusive, threatening or violent behaviour. Removal from training shall not entitle the client or delegate to a refund.

6.3 Unauthorised recording, photography or reproduction of training or assessment materials is strictly prohibited and may result in prosecution.

7. Medical, Fitness and Fatigue Requirements

7.1 Delegates must meet all applicable medical fitness and drugs and alcohol requirements set by Network Rail, London Underground and other relevant infrastructure managers.

7.2 Delegates must not have worked in excess of permitted hours prior to attending training, in accordance with railway fatigue management standards.

7.3 Where medical screening or medical review is required, one review is included. Additional reviews shall be chargeable at £60.00.

8. Certification, Assessment Outcomes and Records

8.1 Certificates and records shall be issued subject to successful completion of the course or assessment and compliance with all applicable standards, scheme rules and requirements.

8.2 Where a delegate fails a course or assessment, no refund shall be due.

8.3 For PTS Initial and LU-WSSI assessments only, a reduced rebooking fee may be offered at the Company's sole discretion, provided that the same delegate is rebooked within fourteen (14) calendar days of the failed course or assessment.

8.4 Any reduced rebooking fee shall apply to the course or assessment element only and shall not include any non-refundable package elements, including eLearning uploads, registrations, licences or third-party charges.

8.5 The Company accepts no liability for certificates or records lost in transit. Replacement certificates may be subject to an administration charge.

9. Accreditation and Compliance

9.1 The Company operates in accordance with the requirements of RISQS, NSAR, Sentinel and relevant industry standards.

9.2 Delegates and sponsors acknowledge that compliance with scheme rules, sponsor responsibilities and industry standards is mandatory and outside the control of the Company.

9.3 The Company reserves the right to withdraw or suspend training or assessment where regulatory, accreditation or safety requirements are not met.

10. Warranty and Service Standard

10.1 The Company warrants that it shall perform the contracted services with reasonable skill and care and in accordance with the agreed specification.

10.2 Where any material deficiency in the services is identified and notified within the warranty period, the Company shall, at its sole option, remedy the deficiency or provide a reasonable fee reduction.

10.3 The remedies set out in this clause constitute the client's sole and exclusive remedies in respect of warranty claims.

10.4 The warranty period shall be two (2) months from the date of service delivery or invoicing, whichever occurs first.

11. Liability and Indemnity

11.1 Nothing in these Terms and Conditions shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded under applicable law.

11.2 Subject to clause 11.1, the Company shall not be liable for any indirect, consequential, economic or special losses, including loss of profit, business or opportunity.

11.3 The Company's total aggregate liability arising under or in connection with the contract, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the total fees paid or payable to the Company in the twelve (12) months preceding the event giving rise to the claim.

11.4 The client shall indemnify and hold harmless the Company against all claims arising from the acts or omissions of the client, delegate or sponsor, save where caused directly by the Company's negligence.

12. Force Majeure

12.1 The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to industrial action, extreme weather, regulatory action, system failures or public health emergencies.

13. Complaints

13.1 Complaints must be submitted in writing to info@tectraining.co.uk. The Company shall investigate and respond in accordance with its complaints procedure within ten (10) working days.

14. Data Protection and Confidentiality

14.1 The Company shall process personal data in accordance with applicable data protection legislation.

14.2 Delegates and clients must keep confidential all training materials, assessment content and proprietary information.

15. LU-WSSI Assessments

15.1 When booking LU-WSSI assessments, the Company shall upload the required eLearning and invoice the client. The assessment must be booked at the point of initial registration.

15.2 Once LU-WSSI eLearning has been uploaded, the delegate may not be substituted or changed under any circumstances.

15.3 Completion of the LU-WSSI eLearning is a mandatory prerequisite. Responsibility for ensuring completion rests with the Sponsor. Failure to complete the eLearning or to meet identification or right-to-work requirements shall result in refusal of entry, with full fees remaining payable.

15.4 Where rebooking of the same delegate is requested, this must be clearly stated at the time of request. Failure to do so may result in the full fee being charged.

16. Workplace Assessments and On-Site Events

16.1 For workplace assessments or on-site events, the client is responsible for ensuring that all delegates meet the applicable prerequisites and Network Rail or infrastructure manager requirements.

16.2 All required information must be provided at least twenty-four (24) hours prior to the assessment or event, or twelve (12) hours for same-day bookings.

16.3 Once a booking has been confirmed, the date and shift time may not be changed. Location changes require a minimum of forty-eight (48) hours' notice and may incur additional costs.

16.4 Failure to comply with this clause shall result in full fees remaining payable.

17. CCTV, Security and Monitoring

17.1 The Company operates continuous CCTV surveillance at its venues, for safety, security and crime prevention purposes.

17.2 Recorded footage may be used for investigation, regulatory compliance and legal proceedings.

18. Severability and Entire Agreement

18.1 If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.2 These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements, representations or understandings.
